Terms and Conditions

Important Information Regarding Our Services. 


Please read the following terms and conditions carefully before engaging with Pretial Caston. 


Not Legal Advice: 

Pretial Caston provides consulting services, drawing upon extensive experience in law, contracts, acquisitions, and procurements. However, we do not provide legal advice, legal opinions, or engage in the practice of law through this forum or our services. Our services are purely advisory, informational, and educational, and do not include drafting, redlining, negotiating, or managing contracts on your behalf. The content provided is not exhaustive of all acquisition, contracts, or procurement laws, subject matter, or training. 


No Business Formation or Partnership: 

Your utilization of our Services or Products, or accessing our content, does not form a partnership, joint venture, agency, or any other form of business formation or legal connection with Pretial Caston. 


Terms and Conditions of Service:


Agreement:  Your engagement with our services, including but not limited to the purchase of any services, accessing our website, or viewing our content, signifies your acceptance of and agreement to abide by these Terms and Conditions.


Nature of Service: Our services are advisory and educational in nature. They are currently provided virtually only. This is not an emergency service or a quick-fix solution for urgent issues, Contract Action Reports (CARs), audits, termination notices, or impending deadlines.


Confidentiality & Non-Disclosure: Access to our proprietary information and consultations is subject to strict Non-Disclosure Agreements (NDAs) and Non-Compete Agreements (NCAs) where applicable.


Prohibited Use: You may not share, post, or disclose our consulting content or insights, services, products, trainings, or any of Pretial Caston's intellectual property with others, or in social media or public forums. Our services are provided for your internal business operations and benefit only. You may not use our content to provide services or goods at your own business, or as an influencer. Pretial Caston is not responsible or liable for any liability that results from the prohibited use of our content or insights.


Intellectual Property: All content, methodologies, and materials provided by Pretial Caston are Trademark and Copyright Protected. Such materials may not be reproduced, redistributed, or shared.


Payment Terms & Fees:

  • General Payment Information: All fees, payment options, and specific refund policies related to each service or product will be clearly outlined and agreed upon before service commencement or product purchase. Payments are processed securely through a third-party payment processor via a provided link and/or QR code after booking is completed. Pretial Caston is not liable for the actions or obligations of third-party payment processors, nor does it provide any warranties or guarantees regarding their services. This clause does not absolve the third-party processor of their actions, duties, or responsibilities.
  • No Free Services or Products: Pretial Caston does not offer free consultations, free services, or provide free access to its products. Fees for all services and products apply as specified.
  • Pricing: Specific fees for individual services (e.g., Initial Consultations, Strategy Sessions, Custom Engagements) are detailed in their respective service descriptions.
  • Complete Payment Requirement: The full outstanding balance for all consultations and services must be paid at least twenty-four (24) hours before the scheduled appointment.

Deposits:

  • Non-Refundable Deposit: A non-refundable deposit is required to confirm and secure all consultations and strategy sessions. The deposit is applied towards the total balance due for the service. Failure to remit the full balance by the due date, to adhere to the rescheduling policy, or to attend the scheduled appointment will result in the forfeiture of your deposit. 


Refund Policy:

  • All Fees Are Non-Refundable: Fees for all services (including initial consultations, strategy sessions, and custom engagements) and products are non-refundable once the service engagement has commenced or the product has been purchased and accessed. 


  • Client Responsibility for Access: It is the purchaser's responsibility to ensure they have the necessary technical capabilities  (e.g., internet access, required software) to view and access consultations, services, and products in the delivery format provided by Pretial Caston. No refunds will be issued due to a client's inability to access or utilize the service/product based on their technical capabilities.


Rescheduling Policy:

  • One-Time Reschedule: Consultations and services that allow rescheduling may be rescheduled one (1) time.
  • Notice Requirement: To be eligible for rescheduling without forfeiture of your fee or deposit, you must provide written notice at least twenty-four (24) hours before the original scheduled appointment time.
  • Reschedule Window: The rescheduled appointment must occur within seven (7) business days following the date of the initial appointment.
  • Forfeiture: Failure to adhere to these rescheduling requirements or any subsequent rescheduling requests will result in the forfeiture of the applicable fees or deposit.


Retainer/Block Hours:

  • For ongoing support, you may hire us for a set number of hours. These funds will be held in an account and charged as you utilize them. Specific terms regarding termination and refunds for unused hours will be detailed in your service agreement. (Example: Unused hours may be refunded at a pro-rata rate, less any administrative fees, if specified in the agreement.) 


Additional Terms: 


No Warranty or Guarantees: 

Pretial Caston makes no warranties or guarantees, express or implied, regarding the outcomes, results, or specific financial, operational, services, or performance impacts of our consulting services. Our guidance, strategies, and educational content are based on extensive experience and research. Still, the success of their implementation depends on various factors specific to each client's unique business, market conditions, and execution capabilities, all of which are beyond our control. We are committed to providing high-quality, insightful, and actionable advice, but we cannot guarantee specific results, increased profits, reduced costs, or the complete elimination of risk. 


Dispute Resolution:

Any disputes arising from our services will be subject to Alternative Dispute Resolution (ADR) as specified in our detailed service agreement. 


Jurisdiction & Governing Law: 

The laws of Tennessee govern all services and agreements, and any disputes will be heard in the appropriate jurisdiction. This governing law provision is intended to be applied without regard to principles of conflicts of laws that might otherwise require the application of the laws of a different jurisdiction. It is the express intent of the parties that the substantive laws of the State of Tennessee, to the exclusion of any other state's laws, shall exclusively govern all matters arising out of or relating to these services and agreements. 


Changes to These Terms: 

These Terms and Conditions are subject to change by Pretial Caston at its sole discretion. We encourage you to review our terms and conditions each time you utilize services, purchase products, review our blog or content, or access our website, as your continued engagement signifies your acceptance of any updates.

Appointment and Refund Policy

• Right to Refuse Service: Pretial Caston reserves the right, at its sole discretion, to refuse or discontinue services to any individual or entity for any reason not prohibited by law.

• Service Fees & Refunds: All fees for services rendered and products delivered by Pretial Caston are non-refundable once the service engagement has commenced, the product is delivered, or access is provided. An initial assessment is conducted before appointment or service approval to determine our ability tooffere suitable services or accommodate your specific business needs. If a service engagement is not approved after this assessment, no service fees will be charged (except for non-refundable initial consultation fees, as stated separately). Once services have begun, no refunds will be issued. 

• Deposits: A non-refundable deposit is required to confirm and secure all consultations, strategy sessions, and strategy follow-up appointments. This deposit typically amounts to twenty percent (20%) of the total cost of the scheduled service. The deposit will be applied directly to the outstanding balance of the service fee at the time the service is rendered. The client must pay the full outstanding balance at least twenty-four (24) hours before the scheduled appointment. 

• Rescheduling Policy: Clients are permitted one (1) reschedule of a confirmed appointment. To be eligible for rescheduling without forfeiture of your deposit or fee, you must provide written notice at least twenty-four (24) hours before the original scheduled appointment time. The rescheduled appointment must then occur within seven (7) business days following the date of the initial appointment. Failure to reschedule within these parameters or for subsequent rescheduling requests will result in the forfeiture of your deposit or applicable fees.
